1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of MP3 to Transcript, including the website, accounts, transcription features, subscriptions, credit packs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes the organization.

2. Eligibility and accounts

You must be at least 18 years old or the age of legal majority in your location and able to enter a binding contract. You must provide accurate account information and keep it current.

You are responsible for safeguarding your password, social-login account, session, and devices, and for activity under your account. Do not share, sell, or transfer an account without our written permission. Notify us promptly if you believe an account has been accessed without authorization.

3. The Service

MP3 to Transcript converts supported MP3 audio into text and may provide timestamps, word-level data, TXT files, or WebVTT files. Available modes may use different transcription providers, models, prices, credit rates, languages, or output features.

Current file types, size limits, guest limits, modes, plan allowances, and prices are shown in the product interface or at checkout. We may add, remove, or change features and limits prospectively. We do not promise that every feature, mode, or provider will be available in every location or at all times.

4. Your audio and content

You retain any rights you hold in audio, file names, and other content you submit ("Input"). You grant us a limited, worldwide, non-exclusive right to receive, validate, transmit, and process the Input solely as reasonably necessary to operate, secure, and support the Service.

You represent and warrant that:

• You own the Input or have all permissions, notices, consents, and lawful bases needed to upload and process it.
• Processing the Input and providing the transcript will not violate privacy, publicity, confidentiality, copyright, employment, wiretapping, recording-consent, or other rights or laws.
• You will not upload content that is unlawful, exploitative, malicious, or prohibited by these Terms.

Recording and consent laws differ by location. You are responsible for determining whether all speakers or other affected people must be notified or provide consent.

5. Transcription output and accuracy

You retain any rights that applicable law gives you in the transcript and other output returned for your request ("Output"). Subject to these Terms, you may copy, edit, download, and use the Output.

Automatic transcription can contain omissions, incorrect words, punctuation errors, speaker confusion, inaccurate timestamps, or other mistakes. Results vary with recording quality, accents, languages, noise, overlapping speech, and specialist vocabulary. “Premium,” “Standard,” or similar labels describe product modes and do not guarantee a particular accuracy level.

You must review Output before using it for publication, contracts, legal proceedings, medical or financial decisions, employment decisions, safety-critical work, accessibility, or any purpose where an error could cause harm. The Service is not a substitute for a qualified human transcriber or professional advice.

6. Free access and guest trials

We may offer free account allowances or a guest trial. The current guest experience permits one Standard transcription per browser, with the file and duration limits shown before upload. A browser cookie may be used to enforce this limit. Creating multiple accounts, clearing identifiers, using automation, or otherwise circumventing a free-use restriction is prohibited.

Free allowances have no cash value, are non-transferable, may expire, and may be changed, suspended, or withdrawn prospectively. We may require an account, verified email, or additional abuse checks before providing free use.

7. Credits and usage measurement

Transcription usage is measured by audio duration. A partial second is rounded up to the next whole second; audio is not rounded up to the next minute. Under the current rates:

• Standard transcription uses 1 credit per billable second.
• Premium transcription uses 12 credits per billable second.

The rate and estimated usage are displayed in the product or pricing information and may be updated prospectively. Credits are reserved before a signed-in transcription begins. If the transcription request fails before a result is successfully produced, the reserved credits are restored automatically. Credits are not ordinarily restored merely because the Output contains errors or does not meet a subjective expectation.

Subscription allowances may contain separate Standard and Premium credit pools. Subscription credits expire at the end of the applicable billing or plan period, even if unused. Annual plans currently make the annual allowance available for the plan year.

One-time credit packs provide universal transcription credits that do not expire during ordinary operation of an active account and Service. “Never expire” does not mean the credits are money, transferable property, or a guarantee that the Service will operate forever. Credits may be revoked for a refund, chargeback, fraud, billing reversal, Terms violation, or account correction. Credits cannot be sold, transferred, redeemed for cash, or used outside the Service.

8. Subscriptions, renewal, and billing

Plus and Pro subscriptions are offered on monthly or annual billing intervals. By purchasing a subscription, you authorize the selected payment processor to charge the displayed price, applicable taxes, and any clearly disclosed fees at checkout and on each renewal until canceled.

Subscriptions renew automatically for the same interval unless canceled before the next renewal. Prices may change for future billing periods, but we will provide notice where required by law. A price change does not affect a billing period already paid.

You are responsible for accurate billing information and for fees charged by your bank, card issuer, or payment provider. Payment credentials are processed by the provider shown at checkout; we do not store complete card numbers.

9. Cancellation, expiration, and refunds

You may request subscription cancellation through the billing settings made available in your account. Cancellation stops future renewals when successfully processed by the payment provider. Already granted subscription credits remain subject to their original expiration date. To avoid unintended future charges, cancel an active subscription before deleting your account.

Except where required by applicable law or expressly stated at checkout, payments are non-refundable once a subscription allowance or credit pack has been granted. We may consider requests involving duplicate charges, an unauthorized transaction, or a material technical failure that prevented delivery. Contact us promptly and include the order information. Approval of a refund is not guaranteed and may result in removal of the associated credits or subscription access.

Chargebacks or payment reversals may cause immediate suspension, cancellation, or removal of credits while the dispute is investigated. Nothing in this section limits mandatory consumer cancellation or refund rights that cannot legally be waived.

10. Acceptable use

You must not use the Service to:

• Violate law, regulation, sanctions, court orders, or the rights of another person.
• Process recordings obtained without required notice, permission, or lawful authority.
• Infringe intellectual-property, privacy, publicity, confidentiality, contractual, or data-protection rights.
• Upload child sexual abuse material, exploitative content, malware, corrupted payloads intended to harm systems, or content that facilitates serious wrongdoing.
• Harass, stalk, surveil, discriminate against, defraud, impersonate, or exploit another person.
• Attempt to bypass authentication, file limits, credits, rate limits, payment controls, or guest-trial restrictions.
• Probe, scan, overload, reverse engineer, scrape, automate against, or disrupt the Service except where applicable law expressly permits and cannot be restricted.
• Resell, sublicense, or provide access to the Service as your own competing transcription API or service without written permission.

We may investigate suspected misuse and preserve or disclose relevant information where reasonably necessary to protect the Service, users, third parties, or comply with law.

11. Third-party services

The Service relies on third parties for hosting, AI transcription, authentication, payment processing, email, analytics, or support. Your use of a third-party feature may also be governed by that provider’s terms and privacy policy. We are not responsible for third-party services outside our reasonable control, including their availability, model changes, payment decisions, or independent data practices.

12. Our intellectual property and feedback

The Service, excluding your Input and Output, including its software, interface, branding, documentation, and original content, is owned by us or our licensors and protected by applicable intellectual-property laws. These Terms give you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose; they do not transfer ownership of the Service.

If you provide suggestions or feedback, you permit us to use them without restriction or compensation, provided we do not publicly identify you as the source without permission.

13. Availability and changes

We aim to provide a reliable Service but do not guarantee uninterrupted availability, processing time, compatibility, or preservation of any feature. Transcription providers, infrastructure, and payment processors may experience outages or change their services.

We may modify, suspend, limit, or discontinue all or part of the Service for maintenance, security, legal, business, provider, or technical reasons. Where reasonably possible, we will provide notice of a material discontinuation that affects paid, unused credits.

14. Suspension and termination

You may stop using the Service at any time. You may request account deletion through the available account or support process, but you should cancel active subscriptions first.

We may restrict, suspend, or terminate access if you violate these Terms, create risk or legal exposure, fail to pay, abuse free access, or threaten the security or operation of the Service. Where appropriate, we may provide notice and an opportunity to correct the issue. Sections that by their nature should survive termination—including payment obligations, ownership, disclaimers, liability limits, and dispute terms—will survive.

15. Disclaimers

To the maximum extent permitted by law, the Service and Output are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, quiet enjoyment, and uninterrupted or error-free operation. We do not warrant that Output will be complete, accurate, lawful for your intended use, or accepted by any person or authority.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

16. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunity, or use arising from the Service or Output.

To the maximum extent permitted by law, our total liability for all claims arising from the Service will not exceed the greater of (a) the amount you paid us for the Service during the three months before the event giving rise to the claim or (b) USD $25. Nothing in these Terms excludes liability that cannot legally be excluded or limited, including mandatory consumer rights where applicable.

17. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold us harmless from third-party claims, damages, and reasonable costs arising from your Input, your unlawful or unauthorized recording or processing, your use of Output, or your material violation of these Terms. This section does not apply to the extent a claim was caused by our own unlawful conduct.

18. Governing law and disputes

These Terms are governed by the laws applicable to the operator of MP3 to Transcript, without regard to conflict-of-law rules, subject to any mandatory consumer protections in your place of residence. Before filing a formal claim, you and we agree to attempt in good faith to resolve the dispute through the contact method available on the website.

If applicable law gives you a non-waivable right to bring a claim in another court or forum, this section does not limit that right.

19. Changes to these Terms

We may update these Terms to reflect changes to the Service, providers, pricing structure, or law. We will update the date on this page and provide additional notice where required. Changes apply prospectively. Continued use after the effective date means you accept the updated Terms; if you do not agree, you must stop using the Service and cancel any active subscription.

20. General terms and contact

If part of these Terms is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, reorganization, financing, or sale of the Service. These Terms and the Privacy Policy form the agreement between you and us regarding the Service, except for additional terms clearly presented at checkout.
